Welcome to Meetwise.AI, the web application and platform owned and operated by BetterDX LLC Inc. As a user of Meetwise.AI, you agree to these Terms of Use, which apply to all individuals who use the platform or the services provided through the Meetwise App. It is important that you read these terms carefully, as they may be amended or updated by BetterDX LLC from time to time without notice. By using the Meetwise App or platform, you indicate your acceptance of these terms. If you do not agree with these terms, please do not use the Meetwise App or platform. To use the Meetwise App and its services, you must register and provide personal information. Please see our Privacy Policy for more information on how we use your personal information. If you do not agree with the Privacy Policy, please do not use the Meetwise App or services.

SERVICES

Platform. BetterDX LLC is the owner of the Meetwise.AI app which is a simple productivity app that integrates with calendar apps such as Google Calendar, Microsoft Outlook as well as the most popular online meeting apps such as Zoom, Microsoft Teams or Google Meet. Meetwise improves your overall experience and productivity by increasing the effectiveness of your meetings, summarizing your weeks, and optimizing your schedule. Meetwise offers recommendations to improve one-on-one meetings, team meetings, feedback, goal-setting, recognition and related activities, including integration with third-party workplace software (the “Services”).

Users. The Services are available to end user employees or contractors (“Employees”) (i) whose employer or organization (“Organization”) has entered into a Master Services Agreement with BetterDX LLC; or (ii) who have signed up for the Services individually without an Organization. BetterDX LLC may also make some aspects of the Platform and Services are available for free. By using the Services in any manner as an As an employee, it is important that you confirm with your organization that you are allowed to represent and work with BetterDX LLC without violating any company policies. Additionally, if you plan to use any third-party software, tools, or integrations (such as Office 365 or Google) in connection with our services, you must agree to the terms of service and privacy policy of those third-party providers.

REGISTRATION

To use the Services, Employee Users must create an account (referred to as ”Account”). An invitation from your Organization is required to register for an Account as an Employee. During registration, you will need to provide some information, which is covered by our Privacy Policy. Although an invitation from an Organization is not required, you still need to register for an Account to access the basic version of the Platform. Credentials. After you have registered for an Account you can login using your Google, Office365 or Microsoft Exchange credentials (depending on which you used to sign up). In the future, we may add further login mechanisms including one to allow for login using an email/password combination. You are responsible for all activity occurring on your Account, so please select a strong password for your Google/Office365/Microsoft Exchange when using the services provided by BetterDX LLC, You may need to create an account and password. It is important that you keep your password secure and do not share it with others. We cannot be held responsible for any damages that occur due to unauthorized access to your account or information. If you suspect any unauthorized use or security breaches, please contact us immediately.

USER CONTENT

Responsibility. All information, data, text, software, sound, images, graphics, messages or other materials, including personal information (“User Content”) transmitted to the Platform by Users is the sole responsibility of Users. This means that the User, and not BetterDX LLC, is entirely responsible for all such material uploaded, transmitted or otherwise made available by using the Platform and Services. Users are solely responsible for obtaining all necessary consents and making all necessary disclosures required in connection with any and all User content. BetterDX LLC does not control User Content uploaded to the Platform and as such, does not guarantee the accuracy, integrity or quality of such content. Under no circumstances will BetterDX LLC be liable in any way for any User Content, including, but not limited to, any errors or omissions in any materials or for any loss or damage of any kind incurred as a result of the viewing or use of any User Content posted, uploaded, transmitted or otherwise made available on the Platform.

Storage. If you are using the basic version of the Services (not under an Organization’s premium subscription), the Platform will only make accessible User Content from the past 45 days.

USER RESPONSIBILITIES AND RESTRICTIONS

You are responsible for all activity occurring on your Account and for the compliance with this Agreement. Without limiting the generality of the foregoing, You agree that You will not:

• Use the Platform other than as permitted by this Agreement;

• Share your login information with any individual;

• Use the Platform to send, store, publish, post, upload or otherwise transmit any information in violation of any laws, rules or regulations including those relating to and privacy, or in violation of any of Your warranties, representations or obligations under this Agreement;

• License, sublicense, sell, resell, rent, lease, transfer, assign, distribute, time share or otherwise commercially exploit or make the Platform available to any third party;

• Use the Platform to upload, collect, transmit, store, use or process any patient information or other data: (i) that You do not have the lawful right to copy, transmit, distribute, and display (ii) for which You do not have the consent or permission from the owner of any personal health information and/or any other personal information contained therein; (iii) that is tortious, defamatory, obscene, or offensive; or (iv) that violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil or criminal liability;

• Use the Platform to send, store, publish, post, upload or otherwise transmit any viruses, Trojan horses, worms, time bombs, corrupted files or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any systems, data, personal information or property of another;

• Continue to use the Platform in a manner that interferes with or disrupts the integrity or performance of the Platform following a notice from BetterDX LLC of such use;

• Attempt to gain unauthorized access to the Platform or its related systems or networks;

• Use or knowingly permit the use of any security testing tools in order to probe, scan or attempt to penetrate or ascertain the security of the Platform;

• Use any data mining, robots or similar data gathering or extraction methods;

• Access the Platform for the purpose of building a similar or competitive product or service or for the purpose of obtaining unauthorized access to the Platform; or

• Copy, translate, create a derivative work of, reverse engineer, reverse assemble, disassemble, or decompile the Platform or any part thereof or otherwise attempt to discover any source code or modify the Platform, except as expressly provided for in this Agreement.

BetterDX LLC reserves the right to terminate, limit, or suspend User access to the Platform for any User breach of these restrictions or any other violation of any other term of this Agreement.

LICENSE TO USER CONTENT

User Content. Except for the material that We license to you pursuant to Section 6 of this Agreement, BetterDX LLC does not claim ownership of any of the materials or User Content created, transmitted, uploaded, stored or otherwise made available on the Platform by You through your use of the Services. You hereby grant to BetterDX LLC a limited license to collect and store User Content for the purpose of providing the Services. You further grant BetterDX LLC a perpetual, irrevocable, and unlimited licence to use, store, and manipulate User Content to create aggregated and anonymized statistical analytics in respect to Platform use and other Services and User parameters and characteristics in accordance with the BetterDX LLC Privacy Policy.

Feedback. If You provide BetterDX LLC with any suggestions, comments or other feedback (“Feedback”) relating to the website, BetterDX LLC may use such Feedback in the website or in any other BetterDX LLC products or services (collectively, “BetterDX LLC Offerings”). Accordingly, You agree that: (a) BetterDX LLC is not subject to any confidentiality obligations in respect to the Feedback, (b) the Feedback is not confidential or proprietary information of You or any third party and You have all of the necessary rights to disclose the Feedback to BetterDX LLC, (c) BetterDX LLC (including all of its successors and assigns and any successors and assigns of any of the BetterDX LLC Offerings) may freely use, reproduce, publicize, license, distribute, and otherwise commercialize Feedback in any BetterDX LLC Offerings, and (d) You are not entitled to receive any compensation or re-imbursement of any kind from BetterDX LLC or any of the other users of the Website or Platform.

Data. As between you and BetterDX LLC, you exclusively own all rights, title and interest in and to all of your data and User Content. BetterDX LLC shall only access your Account, including Your Data, to respond to service or technical problems or as necessary for the operation of the Service or billing. You hereby grant BetterDX LLC and its affiliates a non-exclusive, irrevocable, perpetual, sub-licensable, transferable license to use, copy and otherwise exploit your data and User Content as reasonably required to provide the Services. Additional terms and conditions may be found on the registration page and are considered part of these You are not allowed to copy, translate, create a derivative work of, reverse engineer, reverse assemble, disassemble, or decompile any confidential information. The agreement begins on the Effective Date and will continue until either party terminates it as described in the agreement. If your organization's subscription to the Platform or Services is terminated, you will lose access to them. BetterDX LLC reserves the right to terminate the agreement and your access to the Platform and Services without notice if you violate these Terms, engage in fraudulent or illegal activities, or for other reasons specified in the agreement.

BetterDX LLC does not endorse or provide third-party products or services advertised through Meetwise App, and we will not be held liable for any damages arising from your use or inability to use the Meetwise App or its features. Your User Content will be transmitted over various networks not owned or operated by BetterDX LLC, and we are not responsible for any unauthorized access, delays, losses, alterations, interceptions, or storage of your User Content. BetterDX LLC is not responsible for any interference with your use or access to the Services or security breaches arising from or attributable to the internet, and you waive any claims against us in connection therewith.es or problems, and/or if you participate in fraudulent or illegal activities (such as falsifying your credentials).

If either party terminates the agreement, BetterDX LLC has the right to access the platform and services until it is no longer required by law to do so. It's important to note that any information provided through the website, platform, and services is for informational purposes only and there is no guarantee of accuracy.

IMPORTANT DISCLAIMERS

Please note that any third-party products or services advertised or offered through the Meetwise App are not endorsed or provided by BetterDX LLC. We are not involved in any transaction you may have with these third parties. Additionally, we will not be held liable for any damages, including indirect or consequential damages, arising from your use or inability to use the Meetwise App or any of its features.

Please note that when using our Services, your User Content will be transmitted over the internet and various networks, some of which are not owned or operated by BetterDX LLC. While we are committed to protecting your privacy and comply with Federal and Provincial laws, unauthorized individuals may still be able to access your User Content during transmission. BetterDX LLC is not responsible for any delays, losses, alterations, interceptions, or storage of your User Content while transmitted over public networks not owned or operated by us, such as the internet and your local network. By using our Services, you agree that BetterDX LLC is not liable for any such incidents. in any way responsible for any interference with Your use of or access to the Services or security breaches arising from or attributable to the Internet and You waive any and all claims against BetterDX LLC in connection therewith.

Please be aware that the information and materials provided on the Meetwise App are provided ”as is”. BetterDX LLC does not guarantee that the information or materials on the app are correct, accurate, reliable or complete. Additionally, BetterDX LLC cannot guarantee that the functions contained on the app will be uninterrupted or error-free, that defects will be corrected, or that the Meetwise App or the server(s) that make it available are free of viruses or other harmful components.

By using this website, you agree to follow our terms and conditions. We are not responsible for any content or services provided by non-BetterDX LLC websites that are linked to on our site. If any part of these terms is found to be unlawful, it will not affect the validity of the remaining provisions. BetterDX LLC may choose to waive certain provisions in writing, but this does not constitute a waiver of all provisions.

LIMITATION OF LIABILITY

If you encounter problems using the Meetwise App, we are not responsible for any damages that may result. This includes any errors or inaccuracies in the information or materials provided, personal injury or property damage, or any harmful files or data that may have been transmitted through the app. We also cannot be held liable for any loss or damage arising from your use of the Meetwise App. Please be aware of potential bugs, viruses, or other harmful files, and use caution when using the app.This limitation applies to the app, even if BetterDX LLC was warned about the potential for damages.

Regardless of any conflicting information contained in this agreement, BetterDX LLC's liability for damages related to this agreement will not exceed the total amount paid by you to BetterDX LLC in the two months prior to the claim. These limitations apply to the fullest extent allowed by law in the relevant jurisdiction, including but not limited to substitute goods, data, information, or services, and errors or inaccuracies. Additionally, please note that section 10 pertains to indemnification.

INDEMNIFICATION

BetterDX LLC does not take responsibility for the content or use of external websites or services, and any liability or damages resulting from your use of such websites or services is released from BetterDX LLC. If any part of these terms of use is found to be unlawful, void, or unenforceable, it will not affect the validity of the remaining terms. By using the Meetwise website, you agree to comply with all applicable laws and regulations governing the collection, access, disclosure, and storage of personal information, including but not limited to intellectual property rights, publicity rights, and privacy laws.

THIRD PARTY CONTENT

This Website may contain links to other websites that are not owned or controlled by BetterDX LLC. BetterDX LLC is not responsible for the content of any linked websites. Any third-party websites or services accessed from the Website are subject to the terms and conditions of those websites and or services and You are responsible for determining those terms and conditions and complying with them. The presence on the website of a link to any non-BetterDX LLC websites does not imply that BetterDX LLC endorses or accepts any responsibility for the content or use of such websites, and You hereby release BetterDX LLC from all liability and/damages that may arise from Your use of such websites or receipt of services from any such websites.

GENERAL

Enforcement of Terms and Conditions. If any part of these terms of use is unlawful, void, or unenforceable, that part shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The failure of BetterDX LLC to exercise or enforce any right or provision under these terms of use shall not constitute a waiver of such right or provision. Any waiver of any right or provision by BetterDX LLC must be in writing and shall only apply to the specific instance identified in such writing. No waiver by BetterDX LLC of any provision of these terms of use shall be deemed to be a further or continuing waiver of such provision or any other provision. You agree that any cause of action that You may have arising out of or related to this website or Your use of this website must commence within one (1) year after the cause of action accrues, otherwise such cause of action shall be permanently barred.

The Meetwise App is subject to certain terms and conditions that you must abide by. If you violate these terms or infringe on the rights of others (including intellectual property, publicity, personality, or privacy rights), or break any applicable laws or rules, there may be consequences. Please use the Meetwise App responsibly.

This agreement and all related documents will be drafted in English as per the parties' express wish. Any questions, complaints, or claims regarding the Website, Platform, or Services can be directed to [email protected]. The courts in Colorado, US will have jurisdiction over any disputes.

Additionally, you are not entitled to any compensation or consideration for providing feedback.
